This document serves as a legally binding agreement governing the intellectual property rights, copyright, patents, and usage terms for the C30 Transport Log System (hereinafter referred to as "the System") and all associated code, documentation, designs, and implementations.
Jamie Moseley (hereinafter referred to as "the Developer") hereby declares exclusive ownership of all intellectual property rights associated with the System.
All code, including but not limited to frontend components (React.js), backend services (FastAPI), database structures (MongoDB), API endpoints, authentication systems, photo management systems, backup systems, reporting features, user management, file management, mileage tracking, areas mapping, and all other integrated functionality is protected by copyright.

All original ideas, concepts, business logic, workflows, user experience designs, and system architecture conceived and developed by the Developer are protected from the inception date.

In accordance with employment contract clause 18 (Patent Rights), this System has been developed partially during the Developer's employment and partially during the Developer's own time. Development during working hours has been conducted with the explicit agreement of the Branch Director (line manager) for testing and development purposes.
Under employment contract clause 18.1: "All inventions, designs or improvements made by employees relating to apparatus, process or work in which the company is concerned or interested, automatically become the property of the company which may require the employees, at the Company's expense, to take steps to secure and protect its interests. In cases where the Company is not directly interested, employees will be notified and may then take steps to secure and protect their own interests."
As the employing company has not expressed direct interest in acquiring ownership rights of this System, and no formal notification of company interest has been provided, the Developer retains full ownership and intellectual property rights under clause 18.1.

The System has been developed primarily during the Developer's own time, with testing and refinement conducted at scheduled points during the working week as agreed with the Branch Director. This arrangement has been documented and approved by management.
Use of this System is permitted only as explicitly agreed by the Developer. Any deployment, installation, or operational use requires written authorization from Jamie Moseley.
Protection of the Developer's intellectual property interests will be instantly chargeable. Any unauthorized use, deployment, or commercial exploitation will result in immediate financial liability.
Licensing fees and usage charges are determined solely by the Developer and may be set at any amount specified by the Developer for the entire duration of the System's use.

The Developer bears all ongoing operational costs including but not limited to:
Any and all claims of ownership or usage rights to this System are subject to mandatory recovery of all infrastructure and operational costs incurred by the Developer from inception to present date.

Regardless of any claimed ownership rights, the physical infrastructure and operational continuity of this System remain entirely dependent on the Developer's financial investment and technical administration. Non-payment or unauthorized use may result in immediate service termination.
Without explicit written permission from the Developer, the following actions are strictly prohibited:
This agreement is governed by the laws of England and Wales, United Kingdom. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Unauthorized use, copying, or distribution of this System constitutes copyright infringement under the Copyright, Designs and Patents Act 1988 (as amended) and may result in:
Unauthorized use of patented methods, processes, or innovations may result in patent infringement claims under UK patent law, including statutory damages and injunctive relief.
The Developer reserves the right to pursue all available legal remedies, including but not limited to:
All source code, documentation, technical specifications, and implementation details are considered confidential and proprietary information. Unauthorized disclosure or dissemination is prohibited and may result in legal action.
Any logos, trademarks, brand names, or design elements displayed within this System that are not explicitly owned by the Developer are used solely as direct hyperlinks to third-party websites and services. These visual elements serve only to identify the external company or service being linked to.
The Developer makes no claim of ownership over any third-party logos, trademarks, or brand identities displayed within the System. Such elements remain the intellectual property of their respective owners and are used under fair use principles for identification and linking purposes only.
Third-party logos and brand elements are implemented within the System's coding exclusively to provide direct links to the associated company's official website. When clicked, these elements open a new page directing the user to that company's website. This constitutes fair use under UK trademark law for the purpose of accurate identification and navigation.

Unless the Developer has explicit written agreement authorizing use of a particular logo or trademark, any such element present in the System is there solely as a functional hyperlink to identify and access the third-party service. No endorsement, sponsorship, or affiliation is implied beyond the technical integration or linking functionality.
Any use of this System constitutes acknowledgment and acceptance of the terms set forth in this agreement. Users agree to be bound by all provisions and recognize the Developer's exclusive ownership rights.
The Developer reserves the right to amend these terms at any time. Continued use after amendment constitutes acceptance of modified terms. The Developer may terminate usage rights at any time with written notice.
